(i). "Direct~>r of Finance" shall mean the Director of <br />Finance of the City of I~kewo~, Ohio. <br /> <br /> (J). -Director of ~aw" shall mean the Director of Law <br />of the City of ~akewood, Ohio. <br /> <br /> (k). "Law" or "Laws" shall mean: (t) the applicable <br />provisions of the Ohlo Constitution, .Revised Code of Ohio or <br />other Ohio statutes, administrative rules of any agency of <br />the State of Ohio and the decisions of the courts of Ohio, <br />(ii) the applicable provisions of the Charter, Codified <br />O~dinances or other ordinances and resolutions, and the ad- <br />ministrative rules of any agency, of the City of Lakewood, <br />Ohio, and (iii) any applicable provisions of the Constitu- <br />tion,statutes and administrative rules of any agency and the <br />decisions of the courts of the United States of America. <br /> <br /> (1) "Mayor" shall mean the Mayor of the City of <br />Lakewood, Ohio. <br /> <br /> (m) "Ordinance" and "Resolution" shall 'mean the or- <br />dinances (including the Codified Ordinances) and resolutions <br />adopted by the Council of the City of Lakewood, Ohio which <br />are in effect. <br /> <br /> (n) "Preliminary Agreement" shall mean this Prelim- <br />inary Cooperation Agreement. <br /> <br /> (o) "Project Area" shall mean that area of the City <br />described in Exhibit A to this Preliminary Agreement. <br /> <br /> (p) "Special Project Coun-,~el" shall mean Calfee, <br />Halter & Griswold or such other firm of attorneys selected by <br />the mayor. <br /> <br />Section 2. Purpose of Preliminary Agreement. <br /> <br /> (a) Upon the execution of this Preliminary Agreement, <br />the Developer will select a feasibility consultant acceptable <br />to the (Mayor) (Director of Development) to review the Devel- <br />opers plans and proposals in connection with the redevelop- <br />ment of the Project Area and to report its assumptions, <br />findings, determinations, projections, analyses and conclu- <br />sions with respect to the economic feasibility of the Devel- <br />oper's proposed redevelopment of the Project Area. If such <br />report of the feasibility consultant concludes that the De- <br />veloper's proposed redevelopment of the Project Area is feas- <br />ible or can be made feasible pursuant to all applicable laws, <br />the City and the Developer will meet, discuss and negotiate <br />in good faith in an effort to reach agreement upon a final <br />Development Agreement, which, if approved by the Developer <br />and the Council (acting by ordinance), will provide for the <br />redevelopment of the project area. <br /> <br />2. <br /> <br /> <br />
