PRELIMINARY COOPERATION AGREEI~ENT <br />BETWEEN THE CITY OF LAKE'WOOD, OHIO <br />AND THE AUSTIN E. KNOWLTON COMPANY <br /> <br /> For the purposes of this Agreement, the City of Lakewood, <br />Ohio, whose address is 12650 Detroit Avenue, Lakewood, Ohio, shall <br />hereinafter be identified as "City" and the Austin E. Knowlton Company, <br />whose address is 6460 Busch Boulevard, Columbus, Ohio 43229, shall <br />hereinafter be identified as '~eveloper". <br /> <br /> WHEREAS, the City desires to redevelop certain properties <br />within its boundaries near the intersection of Detroit Avenue and Warren <br />Avenue in its central business district and further identified as <br />properties shown on Exhibit A attached hereto; and <br /> <br /> WHEREAS, the City has selected Developer to commence a program <br />of planning, developing and marketing of the aforementioned property; <br />and <br /> <br /> WHEREAS, the City desires to assist, to the extent permitted <br /> by Law, the Developer in the undertaking and completion of needed urban <br /> renewal and economic development within the central business district of <br /> the City; and <br /> <br /> WHEREAS, the City now desires to enter into a Preliminary <br /> Cooperation Agreement (the "Preliminary Agreement") during which time <br /> City and Developer will undertake and complete certain tasks as outlined <br /> in this Preliminary Agreement that are required before commencement of <br /> redevelopment occurs; and <br /> <br /> WHEREAS, Developer is prepared to commence preliminary tasks <br /> outlined in this Preliminary Agreement and desires to proceed with <br /> feasibility planning and preliminary schematic designing. <br /> NOW THEREFORE, in consideration of the mutual promises herein <br /> contained, it is agreed as follows: <br /> <br />Section 1. Definitions. <br /> <br /> As used in this Preliminary Agreement (hereinafter defined), <br />the following words and phrases shall have the meaning as hereinafter <br />stated, and this meaning shall be identically used in any future agree- <br />ments and contracts between the City and the Developer as pertains to <br />the properties identified in Exhibit A: <br /> <br />(a) "Bond Counsel" for the City shall mean Calfee, Halter & <br />Griswold or such other firm of attorneys nationally recognized <br />as bond counsel as shall be selected or approved by the Mayor. <br /> <br /> <br />
