This Bond Counsel shall be used in any case where the City is <br />the issuer of Bonds for the benefit of the Developer. <br /> <br />(b) "Charter" shall mean the Charter of the City of Lakewood <br />and amendments thereto adopted pursuant to Article XVII[, Ohio <br />Constitution. <br /> <br />(c) "City" shall mean'the City of Lakewood, Ohio. <br /> <br />(d) "Codified Ordinances" shall mean the Codified Ordinances <br />of the City of Lakewood, Ohio. <br /> <br />(e) "Council" shall mean the Council of the City of Lakewood, <br />Ohio. <br /> <br />(f) "Developer" shall mean the Austin B. Knowlton Company of <br />Columbus, Ohio, or Assignee permitted under this Preliminary <br />Agreement. Any such permitted AssiEnee shall include the <br />Austin E. Knowlton Company as a partner or shareholder <br />thereof. <br /> <br />(g) "Development Agreement" shall mean the contract which may <br />be executed between the City and the Developer with respect to <br />the redevelopment of the Project Area. <br /> <br />(h) "Director of Development" shall mean the Director of <br />Planning and Development of the City of Lakewood, Ohio. <br /> <br />(i) "Director of Finance" shall mean the Director of Finance <br />of the City of Lakewood, Ohio. <br /> <br />(J) "Director of Law" shall mean the Director of Law of the <br />City of Lakewood, Ohio. <br /> <br />(k) "Law" or "Laws" shall mean: (i) the applicable pro- <br />visions of the Ohio Constitution, Revised Code of Ohio or <br />other Ohio statutes, administrative rules of any agency of the <br />State of Ohio and the decisions of the courts of Ohio, (ii) <br />the applicable provisions of the Charter, Codified Ordinances <br />or other Ordinances and resolutions, and the administrative <br />rules of any agency, of the City of Lakewood, Ohio, and (iii) <br />any applicable provisions of the Constitution, statutes and <br />administrative rules of ,any agency and the decisions of the <br />courts of the United States of America. <br /> <br />(1) "Mayor" shall mean the .Mayor of the City of Lakewood, <br />Ohio. <br /> <br />(m) "Ordinance" and "Resolution" shall mean the ordinances <br />(including the Codified Ordinances) and resolutions adopted by <br />the Council of the City of Lakewood, Ohio which are in effect. <br /> <br />-2- <br /> <br /> <br />
