(n) "Preliminary Agreement" shall mean this Preliminary <br />Cooperation A~reement. <br /> <br />(o) ."Project Area" shall ~ean that area of the City described <br />in Exhibit A to the Preliminary Agreement. <br /> <br />(p) "Special Project Counsel" for the City shall mean Calfee, <br />Halter & Griswold or such other firm of attorneys selected by <br />the liayor. <br /> <br />(q) "Project Feasibility Study" shall mean a certain study to <br />be completed by third party consultants which shall be the <br />first phase of this Preliminary Agreement. <br /> <br />(r) "Preliminary Schematic Desisn" shall mean conceptual <br />renderings undertaken and completed by Developer as the first <br />phase of plan presentations of the Project Area. <br /> <br />(s) "Preliminary Plans" shall mean those plans completed by <br />Developer as the second phase, which plans are suitable for <br />the City's consideration with respect to granting its planning <br />and zoning approval. <br /> <br /> (t) "Final Plans" shall mean those plans and specifications <br /> completed by Developer as the third phase which are suitable <br /> for the City's consideration with respect to issuing building <br /> permits for commencement of construction. <br /> <br />Section 2. Purpose of Preliminary Agreement. <br /> <br /> (a) Upon the execution of this Preliminary Agreement to give <br /> the Developer exclusive rights to commence and complete a Project <br /> Feasibility Study, said study to be undertaken by a consultant <br /> acceptable to the Mayor. The results of this study will then be <br /> used by the Developer to undertake and complete a Preliminary <br /> Schematic Design of the Project Area. This Preliminary Schematic <br /> Design and the Project Feasibility Study, along with assumptions, <br /> findings, determinations, projections, analysis, conclusions with <br /> respect to the economic feasibility, shall be presented to the <br /> Director of Development. If such report of the Project Feasibility <br /> Study and Preliminary Schematic Design conclude that the <br /> Developer's proposed redevelopment of the Project'Area is feasible <br /> or can be made feasible pursuant to all applicable Laws, the City <br /> and Developer will meet and negotiate in good faith to reach <br /> agreement upon a final Development Agreement, which, if approved by <br /> the Developer and the Council (acting by ordinance), will <br /> constitute the commitments of Developer and the City for <br /> redevelopment of the Project Area in accordance with such agree- <br /> <br />-3- <br /> <br /> <br />
