Ground rents and other rentals, if any, will be <br />prorated to the date of delivery of the Deed. <br /> <br /> (e) Closing. <br /> <br /> The closing of the sale of the non-public purpose <br /> <br />portion of each Redevelopment Property shall occur <br />simultaneously in one integrated closing transaction (the <br />"Closing"). Subject to the City's timely compliance with all <br />site acquisition, grading, rezoning in accordance with the Plan <br />and other preliminary requirements on its part to be performed <br />hereunder (collectively, the "Site 'Acquisition Requirements") , <br />the Closing shall occur no earlier than 60 and no later than <br />120 days following written notice to Redeveloper to the effect <br />that the City has completed the Site Acquisition Requirements <br />with respect to the non-public purpose portions of all of the <br />Redevelopment Properties, and in.no event later than 24 months <br />from the date hereof (the "Outside Closing Date"). If all such <br />activities have not been completed bY the Outside Closing Date, <br />Redeveloper, at its option, may terminate this Agreement or <br />extend in writing the time for purchase of such areas of the <br />unacquired Redevelopment~Properties, whereupon the Outside <br />Closing Date shall be appropriately extended. At the Closing, <br />the Deed to the non-public purpose portion of each <br />Redevelopment Property shall be filed for recordation among the <br />land records of Cuyahoga County.
