completed or otherwise granted on or before six(6) months from <br />the date hereof (the "outSide Re-zoning Date"). If such <br />rezoning has not been completed and/or variances granted by the <br />Outside Rezoning Date, Redeveloper may terminate this Agreement <br />or extend in writing the time within which such rezoning and/or <br />variances are to be accomplished, in which event the Outside <br />Rezoning Date shall be appropriately extended. <br /> <br /> (1) Relocation Assistance. <br /> <br /> In connection with its acquisition of the <br /> <br />Redevelopment properties, the City, at its sole cost, shall <br />comply with all federal, state and local assistance <br />requirements concerning the relocation of any owners, tenants, <br />occupants or users thereof, including, without limitation, any <br />statute, law, regulation, rule or proscription relating <br />thereto. Moreover, the City shall indemnify and hold the <br />Redeveloper wholly harmless against any and all costs, expenses <br />or liabilities incurred in regard to such relocation <br />undertaking and will defend all such actions including those <br />against the Redeveloper. <br /> <br /> Section 2. Purchase of Redevelopment Properties; Purchase <br />Price. <br /> <br /> Subject to all of the terms and conditions of this <br />Agreement, the City agrees to sell and convey to Redeveloper <br />(or any nominee controlled by or under common control with <br />Redeveloper), and the Redeveloper agrees to purchase and <br />acquire (or cause its nominee to purchase and acquire), all of <br />the non-public purpose portions of the Redevelopment Properties <br /> <br />- 12 - <br /> <br /> <br />
