certification by the City shall be a conclusive determination <br /> of satisfaction and completion of the covenants in the <br /> Agreement with respect to the obligations of the Redeveloper to <br /> construct the Improvements. <br /> <br /> If the City shall refuse or fail to provide any <br />certification in accordance with the provisions of this <br />Section, the City shall, within 'fifteen '(15) days after written <br />request by the Redeveloper, provide the Redeveloper'with a <br />written statement, indicating in adequate detail in what <br />respects the Redeveloper has failed to complete the <br />Improvements in accordance with the provisions of this <br />Agreement, or is otherwise in default, and what measures or <br />acts will be necessary, in the opinion of the City, for the <br />Redeveloper to take orperform in order to obtain such <br /> <br />certification. <br /> <br /> SectiOn 10. <br /> <br /> Failure of City 'to Give Timely ADprovals and <br /> Perform Other Covenants and Obliqation~. <br /> <br />In the event that the City at any time (i) fails to <br />give any approval or disapproval contemplated by this Agreement <br />'within the time limits provided, (ii) defaults or fails in the <br />timely performance of any of its other material obligations <br />under this Agreement or (iii) breaches the terms and provisions <br />hereof, then, in such event, such action or inaction shall <br />entitle Redeveloper to terminate'this Agreement subject to the <br />provisions of Section 15 below, all with no further obligation <br />to the City or any other party claiming hereunder; or in lieu <br />thereof, the Redeveloper may choose not to terminate this <br /> <br />- 22 - <br /> <br /> <br />
