Price and that the sum of such valuations shall not be less <br />than the fair market value of such properties, as determined by <br />an independent appraisal. The parties agree that each <br />Redevelopment Property shall be leveled to grade and made free <br />and clear of any structures (above or below grade), buildings <br />or improvements, (including underground improvements), in <br />accordance with Exhibit D attached hereto and incorporated by <br />reference herein. All costs, fees and expenses relating to <br />such requirement, including, without limitation, demolition, <br />clearing and grading costs, as well as all costs, fees and <br />expenses in fulfilling its other obligations hereunder, shall <br />be the sole responsibility of the party as set forth in Exhibit <br />D. The City shall be solely responsible for the costs of <br />relocating any utilities presently serving individual <br />Redevelopment Properties to the extent reasonably required to <br />make such utilities available to the Project as a whole; i.e., <br />to the lot lines of~ the consolidated Project Area or the lot <br />lines of any consolidated group of parcels comprising an <br />identifiable phase, component or segment of the Project. <br /> <br /> The City agrees (a) to take all legisiative, administrative <br />and/or other action necessary Prior to Closing to cause the <br />vacation of Victoria Avenue within the Project Area, the <br />relocation and/or fortification to the satisfaction of the <br />Redeveloper's geotechnical and Civil Engineers ("Project <br />Engineers) of all trunk sanitary and storm sewer lines located <br />along or under the right-of way of such public roadway so <br />vaCated, and (b) to bear all costs, fees and expenses <br />associated with such.undertaking. <br /> <br /> - 14 - <br /> <br /> <br />
