adjacent (City-owned) parking area (Permanent Parcel Nos. <br />314-4-23 and 314-4-24) located on the east side of Warren Road <br />immediately south of the Project, provided the City is able to <br />acquire such post office building on terms acceptable to <br />Redeveloper. In such connection, the City will use its best <br />efforts to promptly acquire the post office property and will <br />permit Redeveloper to participate in all material negotiations, <br />discussions and document preparation related thereto. The <br />purchase price for such post office and parking lot properties, <br />payable by Redeveloper in such manner-and at such time as <br />provided in Section 2 of this Agreement, shall be the City's <br />cost for the post office building and the fair market value of <br />the parking lot as determined by an independent appraisal. <br /> <br />Such properties shall be considered to be Redevelopment <br />Properties subject in all respects to the terms and conditions <br />of this Agreement. <br /> <br /> (b) ~onsolidation. <br /> <br /> When all of the Redevelopment Properties, not required <br /> <br />for municipal public purposes, have been conveyed to the <br />Redeveloper, such parcels shall, at the request of the <br />Redeveloper, be consolidated into one or more permanent parcels <br />as deemed necessary by Redeveloper to facilitate the <br />development of the Project. The City shall assist the <br />Redeveloper as necessary in order to cause the Auditor of <br />Cuyahoga County to affeCt such consolidation and the assignment <br />of one or more permanent parcel numbers to such areas making up <br />the consolidated Redevelopment Properties.
