PURCHASE AGREEMENT <br /> <br /> This agreement is made this day of , <br /> <br />1990, by and between James H. Brenner and Leonard Gutkowski, <br />(hereinafter referred to as "Sellers") and the City of Lakewood, <br />a Municipal Corporation, 12650 Detroit Avenue, Lakewood, Ohio <br />(hereinafter referred to as "Buyer"). <br /> <br /> W I TN E S S ET H: <br /> <br /> WHEREAS, Sellers are the owners of certain real <br />property located at 1442 Victoria 'in the City of Lakewood, Ohio. <br />the "Property" is more particularly described in Exhibit "A" <br />which is attached hereto and incorporated by reference herein. <br />The Buyer, City of Lakewood, is desirous of obtaining said <br />property for a particular public purpose. The City of Lakewood <br />has notified the Sellers of its intention to take said property <br />in accordance with applicable law if Sellers refuse to negotiate <br />a Purchase Agreement for the property. Therefore, under the <br />threat of eminent domain proceedings by the City, Sellers agree <br />to sell the subject property to the Buyer upon the terms and <br />conditions contained herein. Except for the City's intention to <br />take the property under its power of ~eminent domain for a public <br />purpose Sellers would not be desirous of selling the property at <br /> <br />this time. <br /> <br /> NOW, THEREFORE, <br /> <br />promises, covenants and <br />other good and valuable <br /> <br /> in consideration of the mutual <br />agreements contained herein and for <br /> <br /> consideration, the receipt and <br /> <br />sufficiency of which are hereby acknowledged, the parties hereto <br />agree as follows: <br /> <br /> <br />
