thereon (the "Real Property") and all appurtenant rights, <br />privileges and easements belonging thereto, together with <br />all of Seller's rights, title, estate and interest in and <br />to the following. <br /> <br /> a. All gas and electric systems, lighting, heating <br />and air conditioning equipment and systems, radiators, <br />ventilator equipment, incinerators, furnaces, hot water <br />heaters, water, sewage and plumbing systems, fire <br />protection and security systems and all other fixtures <br />attached to the Real Property and owned by Seller <br />.(expressly excluding any such property owned by tenants of <br /> <br /> the building); <br /> <br /> b. All of Seller's rights under leases and such <br /> other agreements, contracts and contract rights pertaining <br /> to the Real Property as are described in Exhibit "B" <br /> attached hereto and made a part hereof, as such exhibit may <br /> be amended as of the Closing Date. <br /> <br /> c. All of the foregoing assets <br /> <br />contemplated <br />collectively <br />"Property." <br /> <br /> 2'. <br /> <br /> and properties <br />to be acquired by Buyer hereunder are <br />referred to in this Agreement as the <br /> <br />PURCHASE PRICE.' The <br /> <br />purchase price for the <br /> <br />Property shall be FOUR HUNDRED THOUSAND (400,000) DOLLARS. <br /> <br />represent <br />inoperable <br />known <br /> <br /> ACCEPTANCE OF PROPERTY. Seller warrants and <br /> that the only material damage, defects, <br /> <br /> or unsafe conditions affecting the property <br />to Seller is likewise known to Buyer as a result of <br /> <br /> <br />
