b. Charges Against Buyer. Buyer shall be <br />charged with the following_ costs tQ~be'deducted by the <br />Escrow Agent from funds due buyer, if any, or to be paid <br />by Buyer prior to transfer of -title: (1) .the costs <br />incident to filing the Deed and any mortgage(s) placed <br />upon 'the. property; (2)'the costs of any conveyance fees <br />and/or real estate transfer taxes applicable to the <br /> <br />Property and (3) half (1/2) the escrow fee. <br /> <br /> c. Other 'Charqes. Taxes and assessments, <br />both general and' special, shall be prorated by the <br /> <br />Escrow <br /> <br />Agent as Of the date of title transfer based on <br /> <br />the last available tax duplicate. Seller shall pay all <br /> <br />utility charges outside of escrow to the date of <br /> <br />transfer of title or the date Seller vacates the <br /> <br />Property, whichever date is later, and the escrow agent <br />shall withhold $1,000 of Seller's proceeds pending <br />receipt of proof Of payment of final utility bills. <br /> <br /> 10. CONTINGENCIES. This Purchase Agreement is <br />contingent upon the following terms and conditions: <br /> <br /> a. Approval by City Council by the adoption of an <br /> ordinance or. resolutioln authorizing the Mayor to <br /> sign this Agreement on behalf of the City of <br /> Lakewood. If such approval is not granted by <br />.... the adoption', of such legislation, or such <br /> legislation is set aside by referendum or court <br /> action, this agreement shall be void ab ~. <br /> and both parties be returned to their original <br /> position. <br /> <br /> b.
