<br />MAINTENANCE, MODIFICATIONS, TAXES AND INSURANCE

<br /> · Section 6.1. Maintenance and Modifications of Leased Premises by Lessee. The
<br />Lessee, at its expense, during the Lease Term shall at its own cost (a) keep and maintain or
<br />cause to be kept and maintained the Leased Premises, including all appurtenances thereto and
<br />any personal property therein or thereon, in good repair and in good operating condition to
<br />provide 'the Required Services, replacing any part or parts thereof which may become worn out
<br />or damaged by other suitable property provided that nothing herein is intended to require the
<br />installation of property which is not useful or economically feasible, and (b) maintain the
<br />suitability of the Leased Premises as a health care facility. Upon the expiration of the Lease
<br />Term or termination of this Lease, the Lessee shall surrender the then Leased Premises and
<br />appurtenances thereto and all movable equipment, furnishings and other personal property which
<br />then comprise the Leased Premises to the City in as good repair as prevailed at the time the
<br />Lessee was put in full possession thereof, loss by fire or other casualty covered by insurance,
<br />ordinary wear and tear, obsolescence, removal and replacements and acts of God excepted,
<br />subject to the provisions of the second following paragraph and of Sections 4.3, 4.4 and 6.2 of
<br />this Lease, and shall transfer to the City all of the Intangible Assets used in the operation of the
<br />Leased Premises which are of the same nature as the Intangible Assets transferred by the City
<br />.to the Lessee in 1987.

<br /> The Lessee shall have the privilege of remodeling~_;~e Leased Premises or making
<br />additions, modifications, removals and impr0;~ements thereto, including the Leased Real
<br />,Premises, from time to time as it, in its discretion, may deem to be desirable for'~'its uses aha'
<br />purposes, provided that such remodeling, additions, modifications, removals or improvements
<br />do not diminish the value of the Leased Premises or its utility in providing the Required
<br />Services. The cost of such remodeling, additions, modifications, removals and improvements
<br />stroll be paid by the Lessee and to the extent the same are fixtures shall be the prope.rt~, of the
<br />~ and be included under the terms of this Lease as part of the Leased Premis~'. ' ; ....

<br />· :~. Section 6.2. Substitution or Removal of Portions of the Leased Premises. (a)
<br />'Lessee covenants and agrees that the suitability taken as a whole of the Leased Premises to
<br />provide the Required Services will not be impaired. The Lessee shall, consistent with Sections
<br />4.3 and 4.4 of this Lease, have the privilege from time to time of substituting or replacing
<br />personal property or fixtures comprising a part of the Leased Premises for any portions of the
<br />Leased Premises, provided that the personal property or fixtures so substituted or replaced shall
<br />not impair the value of the Leased Premises or its utility in providing the Required Services or
<br />adversely affect the exemption from federal income tax of interest on the Bonds. Any such
<br />substituted or replaced property or fixtures shall become the property of the City, subject to any
<br />permitted security interest therein, and be included under the terms of this Lease. All buildings,
<br />structures, improvements, machinery, equipment and other property which shall be constructed,
<br />placed or installed in or upon the Leased Premises as an addition to or as a substitute for or in
<br />renewal or replacement thereof, shall become a part of the Leased Premises and be included
<br />under the terms of this Lease.

<br /> (b) In any instance where the Lessee in its sole discretion determines that any items
<br />of equipment constituting Leased Premises have become inadequate, obsolete, worn out,
<br />unsuitable, undesirable or unnecessary, the Lessee may remove such items of such equipment
<br />from the Leased Premises and sell, trade-in, exchange or otherwise dispose of them (as a whole
<br />or in part), provided that the Lessee substitutes and installs in the Leased Premises (subject to
<br />the provisions of the next sentence of this Section) other equipment having comparable utility
<br />(but not necessarily having the same function) in the operation of the Leased Premises and
<br />provided further that such removal and substitution shall not impair the operating viability of the
<br />Leased Premises. The Lessee shall not be required to install other equipment in substitution for
