The Lessee will not perform any acts or enter into any agreements which will affect <br />adversely the characteristics, status and exemption so described and will not use, <br />carry on or permit to be carried on in the Leased Premises any trade or business that <br />would adversely affect those characteristics, status and exemption. <br /> <br /> (i) The Governing Board shall appoint a Community Advisory Committee <br />consisting of representatives of Community organizations. The Governing Board <br />shall provide in its Code of Regulations for the Community Advisory Committee. <br /> <br />times <br /> <br />Its Articles of Incorporation and Code of Regulations will require at all <br /> <br />0) <br /> <br />The Member will be the sole member of the Lessee and the <br />Lessee or the Governing Board will be the member of any <br />Affiliated Corporation requiring a member; <br /> <br />(ii) <br /> <br />The Governing Board shall consist of 23 members who shall <br />serve without compensation and for a term as hereafter <br />specified commenmng on January 1, except as hereafter <br />provided. Except for members of the Governing Board elected <br />pursuant to subparagraph (4) hereof, the Governing Board may <br />adopt rules providing for removal from the Governing Board <br />of any member of the Governing Board whose absence from <br />the number of meetings of the Governing Board specified in <br />such rules is not excused by the Geverning Board. <br /> <br />(1) <br /> <br />(2) <br /> <br />The Executive and two members of Council shall be <br />representatives of the City and members ex officio of the <br />Governing Board with all the privileges and emoluments <br />of such membership including voting fights. The <br />members of Council to be members of the Governing <br />Board shall be selected by Council by a majority vote of <br />all of its members with, if more than one political party <br />is represented in Council, one from each of the two <br />political parties having the largest and second largest <br />number of representatives on Council as of Ianuary 2 of <br />the year in which the two year term commences and <br />those initially selected shall serve until December 31, <br />1997 or in each case until that person ceases to be a <br />member of Council, whichever is earlier. In the event <br />a member of the Governing Board so selected by <br />Council ceases to be a member of Council prior to <br />expiration of his term, the vacancy in the Governing <br />Board created thereby shall be filled for the unexpired <br />term by Council in the same manner as the original <br />appointment. <br /> <br />The Council' and the Executive shall each nominate two <br />persons to serve as members of the Governing Board. <br />The persons so nominated shall be considered first by <br />the Governing Board and if approved by the Governing <br />Board submitted for consideration for ratification by the <br />Member in its capacity as the member of the Lessee, and <br />the Member may, but need not, ratify the approval of <br />one or more of the nominees approved by the Governing <br /> <br />- 29 - <br /> <br /> <br />
