represents and warrants that it has not taken or omitted to take, or permitted to be taken on its <br />behalf, and covenants and agrees that it will not take or omit to take, or permit to be taken on <br />its behalf, any action which, if taken or omitted, would affect adversely the exemption from <br />federal income taxation of the interest on the Bonds. <br /> <br /> The Lessee covenants and agrees further that it will take, or require to be taken, <br />any acts which may be required of it from time to time under applicable law or regulation to <br />continue the exemption from federal income taxation of the interest on the Bonds. The <br />provisions of the Tax Compliance Agreement, as defined in the First Supplemental Senior <br />Ordinance, are herein incorporated by reference as if fully set forth herein. <br /> <br /> Section 9. I6. Change in Required Services.. The Lessee agrees that it will <br />maintain the Required Services within the City and that it will not terminate any Required <br />Service within the City unless it shall first have notified the City of its intent to terminate a <br />Required Service, the date of the proposed termination, which shall not be earlier than the <br />sixtieth day following such notice, and the reasons for the proposed termination. Such <br />termination may be effected on or after the proposed termination date so long as there shall not <br />have become effective an ordinance of the City directing the Lessee not to terminate the <br />Required Service which was the subject of the notice. <br /> <br />(End of Article IX) <br /> <br />- 37 - <br /> <br /> <br />
