(c) Prior to .the delivery thereof, the Lessee shall furnish or cause to be <br />furnished to the Trustees a tree and complete copy of each assignment, sublease <br />or grant, as the case may be, together with any instrument or document of <br />assumption. <br /> <br /> (d) No assignment, sublease or grant shall impair materially the <br />usefulness or operation of the Leased Premises. <br /> <br /> Any sublease, grant of right to use or leasehold mortgage pursuant .to this Section <br />11.1 must comply with the following: <br /> <br /> (A) each assignment, sublease and grant of right to use shall be <br />subject to the terms of this Lease, <br /> <br /> (B) no assignment, sublease or grant of right to use shall relieve the <br />Lessee of any of its covenants, agreements or obligations under this Lease, <br />and <br /> <br /> (C) no assignment, sublease, grant of right to use or leasehold <br />mortgage shall adversely affect the exclusion from gross income of the <br />holder of interest paid on the Bonds. <br /> <br /> Any assignment, sublease or grant by the Lessee in violation of this Section shall, <br />to the extent permitted by law, be null and void. <br /> <br /> Section. 11.2. Assignment by City. As security for payment of Bond Service <br />Charges and in accordance with applicable law and the Indenture, the City, acting through its <br />Fiscal Officer and without any further action of its Council, may assign to the Trustee the City's <br />fights under and interests in, and may pledge any moneys receivable under, the Lease or from <br />the lease or other use, disposition or sale of the Leased Premises. <br /> <br />City. <br /> <br /> Section 11.3. Restrictions on Transfer and Encumbrance of Leased Premises by <br />Except as provided otherwise in this Lease, the City covenants and agrees that it will not <br /> <br /> (a) sell, assign, transfer, convey, lease or otherwise dispose of its <br />interests in the Leased Premises, or any pan thereof, during the Lease Term other <br />than to the Lessee or to the Member or a related entity, <br /> <br /> (b) create or suffer to be created any lien or encumbrance on the Leased <br />Premises, or any part thereof, except liens or encumbrances for taxes, <br />governmental charges and special assessments, or <br /> <br /> (c) make any pledge or assignment of or create any lien or encumbrance <br />upon the rents, revenues and receipts derived from the sale, assignment, transfer, <br />conveyance, lease or other disposition of its interests in the Leased Premises, or <br />any pan thereof. <br /> <br />(End of Anicte XI) <br /> <br />- 40 - <br /> <br /> <br />
