ARTICLE XII <br /> <br />TERMINATION OF AND SUBSTITUTION FOR LEASE <br /> <br /> Section 12.1. Option to Terminate Lease Prior to Payment of Bonds. The Lessee <br />is granted hereby the option to terminate this Lease if, as provided in Sections 7.1 and 7.2 <br />hereof, it requests the City to redeem all of the Bonds issued pursuant to the Indentures pursuant <br />to Section 7(g) of the Senior Bond Ordinance and Section 5(e) of the Subordinated Bond <br />Ordinance providing for redemption of those Bonds in the case of certain catastrophic events and <br />the City has not commenced .within thirty (30) days of the receipt of such request the <br />proceedings to call such Bonds for redemption and diligently proceeds with such redemption. <br /> <br /> Section 12.2. Termination of Lease and Dissolution. Subject to Section 14.1, <br />on or after expiration of the Lease Term or termination of this Lease, the Lessee may dissolve <br />and if it dissolves, after payment of all its obligations, shall transfer all of its then assets to the <br />City or to another nonprofit corporation organized for the purpose of operating the Hospital <br />provided that such transfer shall not have adverse federal income tax consequences. <br /> <br />(End of Article XII) <br /> <br />-41 - <br /> <br /> <br />
