AGREEMENT BETWEEN <br /> CITY OF LAKEWOOD, OHIO <br /> AND <br />LAKEWOOD HOSPIT,~ L ASSOCIATION <br /> <br /> This Agreement is entered into on this __ day of , 1999, by and between the <br />City of Lakewood, Ohio ("City") and Lakewood Hospital Association, an Ohio non-profit <br />corporation ("Hospital"). <br /> <br />WITNESSETH: <br /> <br /> WHEREAS, the City and Hospital entered into an Amended and Restated Lease on <br />December 23, 1996 (the "Lease"); and <br /> <br /> WHEREAS, in accordance with the Lease provisions, Hospital has operated the Rescue <br />Squad and Paramedic Services ("Paramedic Services") for the City, using ambulances purchased <br />by the City; and <br /> <br /> WHERE.ks, by the authority of Ordinance No. adopted by Lakewood City <br />Council, a copy is attached as Exhibit 1 of this Agreement, the operation of the Paramedic <br />Services shall be transitioned to City; and <br /> <br /> WHEREAS, the Hospital desires to terminate its obligation to provide Paramedic <br />Services in order to focus its energies on its core services, but recognizes its obligation to <br />compensate the City for agreeing to accept the burden of providing Paramedic Services; and <br /> <br /> WHEREAS, Hospital has, in exchange for the City's agreement to relieve HoSPital of its <br />obligation to provide Paramedic Services, agreed to provide certain items and services, as <br />provided herein, to the City's Paramedic Service during the term of the Lease; and <br /> <br /> WHERE,ks, HoSPital and City believe that the obligations assumed by .the Hospital <br />hereunder are equivalent in value to the burdens assumed by the City in connection with the <br />provision of Paramedic Services; and <br /> <br /> WHEREAS, the services provided by Hospital are designed to assist the City in <br />providing integrated high quality Paramedic Services; and <br /> <br /> WHEREAS, Hospital, as a health care provider and in furtherance of its commitment to' <br />community services, agrees to assist City in the quality oversight of the Paramedic Services. <br /> <br /> NOW, THEREFORE, in consideration of the mutual covenants set forth herein, the <br />parties hereto agree as follows: <br /> <br />I. Provision of Paramedic Services. In consideration for Hospital's obligations stated in <br />Section II to this Agreement, City releases Hospital of any and all of its obligations described in <br />Exhibit B ("Rescue Squad and Paramedic Services") of the Lease. <br /> <br />A:\EMS-AGMT doc 1 <br /> <br /> <br />
