required under applicable law or circumstances. If any breach hereunder results in or <br />has the potemial to threaten the licensure, Medicare or Medicaid certification of the <br />Provider or subjects or may subject the Provider to a fine, civil, administrative, or <br />criminal penal~~ or other sanction, then Provider shall have the right, in its sole <br />discretion, to eliminate or shorten the cure per/od set forth above. <br /> <br />IV. Transfer of Vehicles. Pursuant to Exhibit B of the Lease, City has purchased the current <br />ambular~ces for provision of }-aramedic Services. As part of the transition of the Paramedic <br />Services to the City, Hospital shall cooperate with City to transfer the title of the ambulances and <br />equipment to the City. Hospital shall cooperate with the City in the attainment of City's automobile <br />insurance for such ambulances. <br />V. ~. Hospital shall provide the services identified in Section II of this <br />Agreement as part of its community services. The parties agree that Hospital shall not be <br />responsible for any other costs related to the provision of Paramedic Services, e.g., compensation <br />to City employees. <br /> VI. Compliance with Law. By entering into this Agreement, the parties specifically intend to <br /> comply with ali applicable federal, state and local laws, rules and regulations, including but not <br /> limited to the federal anti-kickback statute. ACcordinglY, no part of any compensation paid <br /> hereunder is a prohibited payment for the recommending or arranging for the referral of business <br /> or the ordering of items or services, nor are the payments intended to induce illegal referrals of <br /> business. The parties shall take all necessary acts to comply with the requirements of applicable <br /> laws, regulations and manual p~ovisions regarding (he provision of Paramedic Services. <br /> VII. Notices.
