Fo <br /> <br />Go <br /> <br />requested by the City of Lakewood Division of Fire. The City of <br />Lakewood Health Commissioner shall be advised and consulted as to any <br />proposed community outreach program for which Lakewood Hospital <br />agees to provide such assistance to the Division of Fire. <br /> <br />Medical Director. Lakewood Hospital agrees to make available a Medical <br />Director who will furnish guidelines and medical leadership to the City of <br />Lakewood, Division of Fire EMS Ser~,ices. <br /> <br />~. Lakewood Hospital agrees to identifY a EMS liaison to act as <br />liaison with the !,akewood EMS persc~rmel and the Hospital staff and physician. <br /> <br />~it-y Obligations. <br /> <br />Supervision of Paramedic Services. Upon the transition of Paramedic Services to <br />City, City shall be responsible for all aspects of the operation of the Paramedic <br />Services, including employment, compensation and supervision of paramedics, <br />EMT-B firefighters, dispatchers, and support personnel. <br /> <br />Bo <br /> <br />Provision of Equipment and Supplies. City shall be responsible for the provision <br />of the Paramedic Services, including the purchase of all necessary equipment, <br />vehicles and supplies, excluding Medical Care Supplies pursuant to Section II.E.1 <br />of this Agreement, and all costs associated with the provision of such Services. <br /> <br />Complianc.e. The parties hereto acknowledge and agree that it is not a purpose of <br />this Agreement or any of the transactions contemplated herein to exert influence in <br />any manner over the reason or judgm~-,'a of any party with respect to the referral of <br />patients. It is the intent of the parties hereto that any referrals made shall be based <br />upon the medical judgment and discretion of the patient's physician and/or <br />ambulance crews acting solely in the best interests of the patient. City shall instruct <br />all of its personnel that Hospital shall not be deemed an exclusive or preferred <br />provider and shall instruct their personnel regarding the prohibition against the <br />improper steering of patients. In providing Paramedic Services, the City shall <br />comply with all federal, state and local constitutions, statutes, laws, ordinances, <br />requirements, rules and regulations and orders in providing such services. In the <br />event that there shall be a change in applicable health care law or the interpretation <br />thereof, including, Mthout limitation, Medicare or Medicaid, statutes, regulations, or <br />general instructions, (or the application thereof), the adoption of new legislation or <br />regulations applicable to this Agreement, the implementation of a change in <br />payment methodology in any material third party payor reimbursement system, or <br />the initiation of an enforcement action with respect to any applicable health care law, <br />any of which affects the continuing viability' or legality of this Agreement or the <br />abil.:.ty of either ~n'.'.'y *e be reimburszg, for services or items provided hereunder or <br />the ability of others to make referrals, then either party may, by notice, propose an <br />amendment to conform this Agreement to applicable laws. If notice of such <br />proposed change is ~ven and the parties hereto are unable to agree within thirty (30) <br />days upon an amendment, then either party may terminate this Agreement by ten <br />(10) days' advance wxirten notice to the other party, unless a sooner termination is <br /> <br />A:\EMS-AGMT,do; 4 <br /> <br /> <br />
