ARTICLE I - DEFINITIONS <br /> <br /> Except where the context clearly indicates otherwise, the following terms as used <br />in this Agreement shall have the meaning ascribed to them in this Article: <br /> <br />DEFINITIONS RELATING TO PROJECT srrE <br /> <br />(a) <br /> <br />"Act" means the Industrial Property Revitalization Act of 1994 (Amended Substitute Senate <br />Bill No. 221), as amended, portions of which are codified in Ohio Revised Code Chapter <br />3746. <br /> <br />(c) <br /> <br />(e) <br /> <br />"Approved Application" means the application of the LPE dated as of the date specified on <br />the Term Sheet as the "LPE Application Date," submitted to the County, together with all <br />attachments, supporting documentation, amendments and supplements thereto as approved by <br />the County on the date specified on the Term Sheet as the "ApPlication Approval Date," <br />together with any amendments thereto approved by the LPE and the County after the date of <br />this Agreement. <br /> <br />,'Director" means Ohio's Director of Environmental Protection, including the Director's <br />designated representative(s). <br /> <br />"Project" means the acquisition and/or site preparation, including remediation, of the Project <br />Site. <br /> <br />"Project Activities" means any one or more of the following as provided for in the Approved <br />Application: the acquisition of the Project Site, the preparation the Project Site for <br />redevelopment, including demolition of existing structures in their entirety or the interior <br />thereof for rehabilitation purposes, the obtaining of appropriate Phase One and Phase Two <br />environmental studies and the carrying out of the remediation work required thereby and all <br />other activities incidental thereto as more particularly described in the Approved Application. <br /> <br />(f) "Project Schedule" means the schedule for the Project ActiVities shown on the Term Sheet. <br /> <br />(g) "Project Site" means all land, rights-of-way, property fights, easements, franchise rights or <br /> other interests in real estate generally in Exhibit A attached hereto and made a part hereof and <br /> more particularly described in the Approved Application. <br /> <br />(h) "State" means the OWDA together with the Director, when appropriate. <br /> <br />DEFINITIONS RELATING TO COSTS <br /> <br />(i) <br /> <br />"Eligible Project Costs" shall include, whether incurred before or after the date of this <br />Agreement, the costs of the Project and the Project Activities related thereto (which Eligible <br />Project Costs, other than the capitalized interest hereinafter provided for in this paragraph, <br />shall in no event exceed the amount specified on the Term Sheet as the "Maximum Eligible <br />Project Costs") including, but not limited to, the following: the purchase price of the Projec~ <br />Site when acquired by purchase, or the value thereof when appropriated as found by the jury, <br /> <br /> <br />
