<br />ARTICLE XII <br /> <br />INDEMNITY AND INSURANCE BY LESSEE <br /> <br />1. Lessee covenants and agrees that it will protect, indemnifY and save <br />harmless Lessör against and ITom any penalty, damages, charges or costs <br />(including attorney's fees) imposed or resulting ITom any violation of any <br />law, order of governmental agency or ordinance, whether occasioned by <br />the neglect of Lessee or those holding under Lessee, and that Lessee will <br />at all times protect, indemnifY and save harmless the Lessor against and <br />ITom all claims, losses, costs, damages or expenses arising out of or ITom <br />any accident or other occurrence on or about the Demised Premises <br />causing injury to any person or property whomsoever or whatsoever, and <br />will protect, indemnifY save and keep harmless the Lessor against and <br />ITOm any and all claims and against ahd ITom any and all losses, costs, <br />damages or expenses arising out of any failure of Lessee in any respect to <br />comply with or perfonn all the requirements and provisipns of this Lease. <br /> <br />2. It is understood by and between LesSor and Lessee that the Lessee, as a <br />municipal corporation, is self-insured and, as such Lessee will be <br />responsible for any obligations accruing to it by virtue of paragraph I <br />above. <br /> <br />ARTICLE XIII <br /> <br />ASSIGNMENT AND SUBLETTING <br /> <br />Lessee covenants and agrees not to assign this Lease or to sublet the whole or any part of <br />the Demised preµ1Îses, or to permit any other persons to occupy same without the written <br />consent of the Lessor, references elsewhere herein to ~signees notwithstanding. No <br />consent of Lessor to a particular assigmnent pr subletting shall be deemed a consent to <br />further assignments or subletting. Any asslgmnent of subletting, even with the consent of <br />Lessor, shall not relieve Lessee ITom liability for payment of relit or other sums herein <br />provided or ITOm the obligation to keep and be bound by the terms, conditions and <br />covenants of the Lease. The acceptance of rent ITom any other person shall not be <br />deemed to be a waiver of any of the provisions pf this Lease and shall not constitute <br />consent to the assigmnent of this Lease or subletting of the Demised Premises. <br /> <br />ARTICLE XIV <br /> <br />EMINENT DOMAIN <br /> <br />1. Iii the event the Demised Premises or any part thereof sh¡ll} be t&ken or <br />condemned either permanently or temporarily for any public or quasi <br />public use or purpose by any competent authority in appropriation <br />proceedings or by any right of eminent domain, the entire compensation <br />award therefor, both leasehold and reversion, shall belong to the Lessor <br />without any deduction thereITom for any present or future estate of Lessee <br />ánd Lessee hereby assigns to Lessor all its right, title and interest to any <br /> <br />7 <br />
