Clifton Boulevard and St. Charles Avenue by widening and <br />providing additional on-street parking with concrete curbs, <br /> <br />improving Hilliard Road and Lakewood Heights Boulevard by replacement <br />of the base as required and resmqacing with asphalt, including replacement <br />of curbs, aprons and sidewalks as required, together with all necessary <br />appurtenances thereto, <br /> <br />improving certain street designated by the Council by resurfacing, repairing <br />curbs and improving traffic signalization, <br /> <br />acquiring police enmmuuication equipment, <br /> <br />renovating, furnishing and equipping mtmicipal buildings and improving <br />sites, <br /> <br />(21) improving parks, <br />(22) improving sanitary sewers and the CiBr's wastewater treahnent plant, and <br /> <br />(23) improving Hilliard Road by replacing sewers5 together with any necessary <br /> appurtenances. <br /> <br /> "Principal Payment Dates" means December 1 of the years set forth in the table in Section <br />2(c) of this ordinance or in the Certificate of Award. <br /> <br /> "Purchase Agreement" means the Bond Purchase Agreement between the City end the <br />Underwriter, entered into in aceordance with Section 6 of this ordinance. <br /> <br /> "Refunding Bonds" means the Various Purpose General Obligation Refimding Bonds, <br />Series 2007, authorized by this ordinance. <br /> <br /> "Refimded Outstanding Bonds" means, collectively, the portion of the Outstanding 2001 <br />Bonds end the Outstanding 2003 Bonds to be refunded by the Refimding Bonds, <br /> <br /> "Register" means all books and records necessary for the registration, exchange, and transfer <br />of the Refunding Bonds. <br /> <br /> ''Registrar" means The Harlrington National Bank, or another national bank or trust <br />company as determined by the Director of Finance in the Certificate of Award in accordance with <br />Section 8(c). <br /> l <br /> ,'Registrar Agreement" means the Bond Registrar Agreement between the City and the <br />Registrar for the Refunding Bonds, as supplemented or amended. _ <br /> <br />"SEC Rule" means SEC Rule 15c2-12. <br /> <br /> "Serial Bonds" means Refunding Bonds designated as Serial Bonds in the Certificate of <br />Award and maturing on the dates set forkh in the Certificate of Award, and not subject to Mandatory <br />SJ~fldng Ftmd Redemption. <br /> <br /> "SlD" means the state information depository, if any, with which filings are required to be <br />made by the City in accerdande with the SEC Rule. <br /> <br /> "Specified Events" means any of the following events, with respect to the Refunding Bonds: <br />principal and interest payment delinquencies; non-payment-related defaults; unscheduled draws on <br />debt-service reserves reflecting financial difficulties; tmscheduled draws on credit enhancements <br />reflecting financial difficulties; substitution of credit or liquidity providers or their failure to <br />perform; adverse tax opinions or events affecting the tax-exempt status of the Refunding Bonds; <br />modifications to rights of Holders or beneficial owners of the Refunding Bonds; bond calls; <br />defessances; release, substitution, or sale of property securing repayment of the Bonds; and rating <br />changes. <br /> <br />14 <br /> <br /> <br />
