" ATTACItM);NT A i dt`P ;Emergency Services Consulting PERSONAL SERVICES CONTRACT This a reement made this ~ 9 ~5 day of ~ ~r cLr 2011, is by and between Westshore Council of Governments hereinafter called the °`CIi nf" and Emergency Services Consulting Iniernafional, doing business as a corporation in Oregon, hereinafter called ESCI. WITNESSETti: 1. For and in consideration of payment, agreements, and scope of work described below, the Clienf and ESC! hereby agree to commence and complete the consultation, to provide the work described; and comply with the. terms of the contract documents: 2. Scope of Work:. ESCI shall provide consulting services to Facilitate t?lannirig and tmpiementatiort meetings wifh designated elected officials, staff and Fire Department representatives as directed. by Clienf. 3. Fees. Westshore Council of Governments shall pay .ESCI a total sum not to exceed ten thousand dollars (10,000), inclusive of expenses. Expenses are anticipated to include travel, meals, postage, and pttotodopying. The payment schedule shall be as follows; i a. Monthly ihvoices far actual hours, billed at $165/hour, plus actual expenses. 4: This agreement shall be biriding upon all parties hereto and their respective heirs, executors, administrators, successors, and assigns. 5, The laws of the state of Ohio shall govern this agreement.. 6. ESCI shall comply with all federal, state, and local laws applicable to the work under this agreement,. 7, Termination,. The Westshore Council of Governments may terminate this agreement for any reason upon 30 (thirty) days' written notice to ESGi. Payment due upon termination by the Westshore Council of Governments prior to completion of all work will be on a pro rata basis of fhe total project. costs; reflecting satisfactory project completion to date. 8 Amendment. This agreement may be amended by mutual written agreement of aft parties. 9. 'Independent Contractor. ESC/ is engaged as an independent contractor and will be responsible for any federal or state taxes applicable to the payments under this agreement ESCI is not currently employed by the Westshore Council of Goverments and wilt not be under the direct control of the Westshore Council of Governments. Because ESCI is an independent contractor, the Westshore Council of Governments will not be liable for any tax withholding, social security payments, state workers' compensation insurance, unemployment insurance, retirement system payments, or other similar expenses normally payable on behalf of employees of the Westshore Council of Governments.
