10, Insurance. ESC! is insured. in excess of $2,000,000. Insurance certificates will be provided to the Westshore Council of Governments upon receipt of ESCI of this signed contract.. 11. Indemnification. The parties mutually agree to the fullest extont permitted by law to indemnify and hold the others harmless from any damage, liability, or cost, including any costs of defense, to the extent caused by the indemnifying party, its employees, officers, or agents, intentiona(:or negligent acts, errors, or omissions in the performance of this contract.. 12. Attorney Fees. If suit, action, or arbitration is brought either directly or indirectly, the party against whom. judgment is made agrees to pay reasonable attorney's fees incurred in such proceeding, the trial and appellate courts, as well as costs and disbursements as ordered by a court of competent jurisdiction. 13. This agreement is an integrated writing, executed by the parties after negotiation and discussions of all material provisions. None of the parties to this agreement has relied upon inducements, concessions, or representations of fact, except as set forth in this agreement. IN WITNESS.
