" ATTACHMENT A <br />~'-.Emergency Services CQnsttiting <br />I~~~ <br />PERSO[+[AL SERVECES CQNTRACT <br />This a reement made this ~ <br />9 ~~ day of ~ ~r .C(r 2011, is by and between Westshore <br />Council of Governments hereinafter called the v`Cfi nt" and Emergency Services Consulting <br />International, doing business as a corporation in Oregon, hereinafter called ESCI. <br />WITNESSETH: <br />t. For and in consideration of payment, agreements, and scope of work described below, the <br />Client and ESCI hereby agree to commence and complete the consultation, to provide the work <br />described, and comply with the terms of the contract documents. <br />2. Scope of Work:. ESC/ shall provide consulting services to Facilitate Planning and <br />Implementation meetings with designated elected officials, staff and Fire Department <br />representatives as directed ny Client. <br />3. Fees. Westshore Council of Governments shall pay ESCI a tota{ sum not to exceed fen <br />thousand doAars (14,000}, inclusive of expenses. Expenses are anticipated to include travel, <br />meals, postage, and photodopying. <br />The payment schedule shall be as follows: <br />a. Monthly invoices for actual hours, billed at $f 65/hour, plus actual expenses. <br />4. This agreement shall be bihding upon all parties hereto and their respective heirs, executors, <br />administrators, successors, and assigns. <br />5. The laws of the state of Ohio shall govern this agreement. <br />6. ESCI shat! comply with alt federal, state, and local laws applicable to the work under this <br />agreement. <br />7. Termination. The Westshore Council of Governments may terminate this agreement for any <br />reason upon 30 (thirty) days' written notice to ESCI. Payment due upon termination by the <br />Westshore Council of Governments prior to completion of alt work will be on a pro rata basis of <br />the total project costs, reflecting satisfactory project completion to date. <br />8. Amendment. This agreement may be amended by mutual written agreement of all parties. <br />9. Independent Contraotor. ESCI is engaged as an independent contractor and wiN be responsible <br />for any federal or state taxes applicable to The payments under this agreement. ESCI is not <br />currently employed by the Westshore Council of Goverments and will not be under the direct <br />control of the Westshore Council of Governments. Because ESC/ is an independent contractor, <br />the Westshore Council of Governments will not be liable for any tax withholding, social security <br />payments, state workers' compensation insurance, unemployment insurance, retirement system <br />payments, or other similar expenses normally payable on behalf of employees of the Westshore <br />Council of Governments. <br />Personal Services Contract- Westshore Council of Governments <br />Page 1 of 2 <br /> <br />
