<br />10. Insurance. ESC! is insured in excess of X2,000,000. Insurance certificates will be provided to <br />the Westshore Council of Governments upon receipt of ESCI of this signed contract. <br />11. Indemnification. The parties mutually agree to the fullest extent permitted by law to indemnify <br />and hold the others harmless from any damage, liability, or cost, including any costs of defense, <br />to the extent caused by the indemnifying party, its employees, officers, or agents, in#entiona~or <br />negligent acts, errors, or omissions in the performance of this contract. ° <br />12. Attorney Fees. It suit, action, or arbitration is brought either directly or indirectly,. the party <br />against whom judgment is trade agrees to pay reasonable attorney's fees incurred in such <br />proceeding, the trial and appellate courts, as well as costs and disbursements as ordered by a <br />court of competent jurisdiction. <br />13. This agreement is an integrated writing, executed by the parties after negotiation and <br />discussions of all material provisions.
