- 2 <br /> <br />upon the following further terms and conditions: <br /> <br />A) That such real estate be conveyed to the City of Lakewood <br />by a warranty deed stating that such property is free and <br />clear of all encumbrances, except taxes and assessments for <br />the year 1956 and thereafter, zoning ordinances and subject <br />to a lease of a portion of such real estate to the Broadway <br />Petroleum Corporation, which expires February 28, 1957. <br /> <br />B) That the said Young Men's ~hristian Association of <br />Cleveland shall furnish, attts own cost, a title guaranty <br />in the amount of the purchase price, guaranteeing the City <br />of Lakewood that title te said realty is free and clear of <br />all.encumbrances, except taxes and assessments for the year <br />1956 and thereafter and zoning ordinances; that the cost ef <br />title exam~nation shall be paid for by said Young Ments <br />ChristianAssociatton ef Cleveland. <br /> <br />C) That possession of all of the premises, except the por- <br />tion occupied ~nder. said lease to the Broadway Petroleum <br />Corporation, shall be given to the City of Lakewood on or <br />before May 1, 1956; that such occupancy by the said You~.g <br />Men's Christian AsSociation of Cleveland, to May 1, 1956, <br />shall be rent free, <br /> ocqupied <br />D) That rentals for the portion-of such real estate/by the <br />Broadway Petroleum Corporation, and taxes and assessments, <br />shall be prorated as of date of filing the said warranty <br />deed for record. <br /> <br />E) That on the date that the said Young Men's Christian <br />Association of Cleveland vacates said premises, it shall <br />cause a reading to be made of the meter furnishing water to <br />unrented portion of the premises, and all costs for such <br />water shall be paid for by the said Young Men's Christian <br />Association of Cleveland. <br /> <br />F) That said Young Men's Christian Association of Cleveland <br />shall affix to said warranty deed revenue stamps in the <br />amount required by law. <br /> <br />G) That said Young Ments Christian Association of Cleveland <br />and the City of Lakewood shall each pay one-half the escrow <br />charges. <br /> <br />H) That if this offer shall be accepted by the said Young <br />Men's Christian Association of Cleveland, then a formal agree- <br />ment shall be entered into by and between the City of Lakewood <br />and the said Young Men's Christian Association of Cleveland, <br />providing for such purchase and sale upon the foregoing con- <br />ditions, and further providing reasonable time to the City <br />of Lakewood for the adoption of necessary legislation° <br /> <br /> Section 2. Upon the adoption of this resolution, the Council <br />Committee on Recreation is hereby authorized and directed to deliver <br />a certified copy of this resolution to the general secretary of the <br />Board of Trustees of the Young Men's Christian Association of Cleveland, <br />whereupon~ this resolution shall constitute an offer for the purchase <br />of such real estate, subject to acceptance by the said Young Men's <br />ChriStian Association of Cleveland within thirty days of the adoption <br />hereof. <br /> <br /> <br />
