Changes and modifications of this Agreement shall be made in
<br />writzng as mutually agreed to between both parties.
<br />
<br /> The GRANTEE shall, in all solicitations or advertisements for
<br />employees placed by or on behalf of the GRANTEE, state that all
<br />qualified applicants will receive consideration for employment without
<br />regard to race, color, religion, national origin, age, handicap,
<br />ancestry, or sex.
<br />
<br /> The GRANTEE agrees that it will fully cooperate with the State
<br />Equal Employment Opportunity Coordinator, and with any official or
<br />agency charged with enforcing non-discrimination laws to assure proper
<br />equal employment practices under this Agreement, and said GRANTEE shall
<br />comply promptly with all lawful requests and directions from the State
<br />of Ohio or any of its officials and agencies in this regard.
<br />
<br /> In the event of the GRANTEE'S failure to comply with the' non-
<br />discrimination clauses of the Agreement, this Agreement may be
<br />cancelled, terminated, or suspended in whole or in part and the GRANTEE
<br />may be ineligible for further State agreements, and other sanctions may
<br />be imposed and remedies instituted as otherwise provided by law.
<br />
<br /> The GRANTEE shall indemnify, protect and save harmless the
<br />DEPARTMENT, its agents and employees from and against any and all
<br />clazms, actions, damages, liability, and expense in connection with and
<br />arising from work performed by the GRANTEE under this Agreement.
<br />
<br /> The DEPARTMENT may, at any time after execution of this Agreement,
<br />terminate any portion or all of the work or services. In the event of
<br />such termination, the GRANTEE shall be paid a prorata amount for project
<br />costs, incurred and accepted and for any reasonable non-cancellable
<br />obligations up to the time of termination.

<br /> Pursuant to R.C. 125.111, GRANTEE agrees that the GRANTEE, and any
<br />person acting on behalf of the GRANTEE, will not discriminate, by reason
<br />of race, creed, color, religion, sex, age, handicap, national origin, or
<br />ancestry against any citizen of this state in the employment of any
<br />person qualified and available to perform the work under this Agreement.
<br />GRANTEE further agrees that the GRANTEE and any person acting on behalf
<br />of the GRANTEE shall not, in any manner, discriminate against,
<br />intimidate, or retaliate against any employee hired for the performance
<br />of work under this Agreement on account of race, creed, color, religion,
<br />sex, age, handicap, national origin, or ancestry. GRANTEE represents
<br />that it has a written affirmative action program for the employment and
<br />effective utilization of disadvantaged persons and will file a
<br />description of that program and a progress report on its implementation,
<br />annually with the Ohio Civil Rights Commission and the minority business
<br />development office. The GRANTEE agrees to post in conspicuous places,
<br />available to employees and applicants for employment, notices to be
<br />provided by the DEPARTMENT setting forth provisions of this
<br />nondiscrimination clause.
