EASEMENT AGREEMENT <br />This Easement Agreement ("Agreement") is entered into as of the day of June, <br />2012, by and behveen CVS 3340 OH, L.L.C., a Delaware Limited Liability Company <br />("Grantor"), and the City of Lakewood, Ohio, a municipal corporation ("Grantee"). <br />RECITALS <br />WHEREAS, Grantor is the fee title owner of certain lands situated in the City of <br />Lakewood, C'rryahoga County, Ohio, fully described in Exhibit A, attached hereto and <br />incorporated herein (hereinafter refereed to as the "Premises"); <br />WHEREAS, Grantee desires to maintain certain residential street lighting electrical <br />transmission systems and related facilities located on a portion of the Premises. <br />NOW, THEREFORE, in consideration of the swn of Ten Dollars ($10.00) and other <br />valuable consideration received to the firll satisfaction of Grantor and in further consideration of <br />the covenants, promises, and agreements set forth herein, the parties agree as follows: <br />1. Grantor hereby grants and conveys to Grantee a perpetual, nonexclusive easement in, <br />under, over, upon, and across that portion of the Premises sho~ln on Exhibit B, attached ]rereto <br />and incorporated herein (the "Easement Area"), for the sole purpose of reconstnwling, <br />modifying, supplementing, maintaining, operating and/or removing residential street lighting <br />electrical transmission facilities, but not limited to, underground cables and wires, underground <br />conduits, electronic equipment cabinets (as sho«m on Exhibit B), and other related or useful <br />equipment, including cables, wires, conduits, ducts, handholes, and other related or useful <br />equipment, fixhrres, appurtenances, and above-ground and below-ground facilities, together with <br />the right to have hrgress and egress across the Easement Area for the purpose of access to and <br />use of the easement granted herein. <br />~ESo~ a it o~ <br />EXHIBIT <br />
