from that line item; (ii) no line item in the Budget (other than the line item to which the <br />reallocation is sought) is required, in Grantor's judgment, to be increased; and (iii) Subgrantee <br />shall present paid receipts or other proof of payment prior to subsequent Disbursements. <br />If the Grant Funds are not expended in accordance with the terms, conditions and time <br />period set forth in this Agreement, or the total amount of the Funds exceeds the eligible costs of <br />the Project, the amounts improperly expended or not expended shall be returned to Grantor <br />within thirty (30) days after expiration or termination of this Agreement. In the event the Project <br />is not completed and the USEPA requires the return of all or some of the Grant Funds, all <br />moneys paid by Grantor to Subgrantee under this Agreement shall be remitted to Grantor by <br />Grantee within thirty (30) of receipt of notice by the Subgrantee. <br />ARTICLE III <br />CONDITIONS TO SUBGRANT CLOSING AND DISBURSEMENT <br />3.1 Grant Disbursement. All Disbursements shall be made in accordance with the <br />provisions of Article IV hereof and other applicable terms of this Agreement. <br />3.2 Conditions To Subgrant Closing. Subgrantee shall furnish the following materials <br />to Grantor where so requested, all at least five (5) business days prior to the Subgrant Closing or <br />at such time as is set forth below and all of which must be strictly satisfactory to Grantor and <br />Grantor's counsel in form, content and execution: <br />(a) Certificate. A certificate signed by the Project Engineer showing that the <br />Specifications or Remedial Action Plan, as applicable, have been reviewed and, <br />upon full implementation, will be sufficient to complete Subgrantee's Work; <br />(b) Specifications/Remedial Action Plan. Complete copies of the Specifications or <br />Remedial Action Plan, as applicable. <br />(c) Insurance Policies. Subgrantee shall require that each of its contractors and all <br />subcontractors, during the life of their respective contracts with the Subgrantee, <br />maintain worker' compensation insurance, comprehensive general public liability <br />insurance, property damage and vehicle liability insurance, naming Grantor as an <br />additional insured on said insurance policies, in amounts and on terms that <br />comply with all applicable legal requirements and that are commercially <br />reasonable. Subgrantee shall submit to Grantor certificates of insurance verifying <br />continuing insurance coverage required by this Agreement. <br />(e) EPA Approval. Grantor shall have received evidence satisfactory to it that the <br />USEPA and OEPA, as applicable, have approved the Eligibility Determination, <br />5 <br />
