THIRD AMENDMENT TO LEASE AGREEMENT This THIRD AMENDMENT TO LEASE AGREEMENT is made and entered into as of the 15` day of April, 2016, by and between THE CITY OF LAKEWOOD ( "Landlord "), as successor in interest to Lakewood Hospital Association ( "Original Landlord ") and THE CLEVELAND CLINIC FOUNDATION ( "Tenant "). WITNESSETH: WHEREAS, pursuant to a certain Lease Agreement dated as of April 19, 2011, as amended by a certain First Amendment to Lease Agreement dated as of September 1, 2012 and as amended by a certain Second Amendment to Lease Agreement dated as of February 1, 2014 (collectively, the "Lease "), Tenant leased from Landlord, for use by its OBGYN & WOMEN'S HEALTH INSTITUTE, those certain premises known as Suite Nos. 300, 300A, 310, 320, 330 and the "Additional Space" referred to in the First and Second Amendments, all of which are located on the third floor of the Lakewood Community Health Center located at 1450 Belle Avenue, Lakewood, Ohio and consisting of a total of approximately 9,697 square feet of space (the "Premises ") for a Term which is scheduled to expire on April 30, 2016; and WHEREAS, on December 22, 2015, Landlord acquired fee simple title to the Building from Original Landlord and became Landlord under the Lease; and WHEREAS, Landlord and Tenant desire to amend and /or supplement certain of the provisions of the Lease so as to provide for the extension of the Term of the Lease and the amount of Base Rent to be paid therefor, NOW, THEREFORE, for and in consideration of the premises and the promises and covenants set forth hereinbelow, the parties agree that the Lease is hereby amended and /or supplemented as follows: 1. The Term of the Lease is hereby extended for an additional period of three (3) years, commencing May 1, 2016 and ending on April 30, 2019 (the "First Extended Term").
