LEASE AGREEMENT <br />This Lease Agreement (the "Lease ") is made as of the day of <br />between LAKEWOOD HOSPITAL ASSOCIATION, an Ohio non - profit corporation <br />( "Landlord ") and LAKEWOOD CHILD CARE CENTER, an Ohio non - profit corporation ( "Tenant "), <br />PREMISES <br />In consideration of the rents, terms, provisions and covenants of this Lease, Landlord <br />hereby leases unto Tenant and Tenant hereby rents and accepts from Landlord those <br />certain premises containing approximately 6,504 rentable square feet, located in Suite <br />100 on the first floor and an outdoor adjacent playground area consisting of approximately <br />1,841 square feet of space, which premises are outlined on Exhibit A attached hereto and <br />made a part hereof (the "Premises "), and which Premises are contained in and outside of <br />that certain building known as the Lakewood Community Health Center located at 1450 <br />Belle Avenue, Lakewood, Ohlo (the "Building "). The Building, together with the land on <br />which it is situated, and all other Improvements located thereon are collectively referred to <br />herein as the "Property ". Except as otherwise provided herein, Tenant shall have full and <br />unimpaired access to the Premises and on a non - exclusive basis to the common areas of <br />the Building and the Property. In addition to the real property being leased hereby, <br />Landlord hereby leases to Tenant the following items of personal property, all of which <br />Tenant shall maintain in good and operable condition and return to Landlord at the <br />expiration of this Lease in the same condition as at the Inception hereof, less reasonable <br />wear and tear: All furniture and equipment now located on the Premises, a detailed list of <br />which shall be attached hereto as Exhibit B and made a part hereof. <br />2. TERM <br />2.1 Term: The term of this Lease (the "Term ") shall be for a period commencing on the <br />date on which Tenant occupies the Premises and is open for business (the <br />"Commencement Date ") and shall expire on the last day of the sixtieth (60th) full <br />calendar month thereafter. Within thirty (30) days following the Commencement <br />Date, the parties hereto agree to execute and deliver to each other an instrument <br />which shall set forth the Commencement Date and the End Date of this Lease. The <br />expiration of the Term or sooner termination of this Lease pursuant to its provisions <br />is referred to herein as the "Lease Termination ". <br />2.2 Holdina Over: If Tenant holds over beyond the expiration of the Term , Tenant shall <br />be deemed a tenant from month -to -month subject to all the terms of this Lease <br />except that the monthly Base Rent for such holdover shall be 150% of the monthly <br />Base Rent which was payable by Tenant to Landlord for the last month of the Term <br />prior to such expiration; provided, however, upon written agreement of the parties, <br />Tenant may continue to occupy the Premises as a month to month tenant at the <br />same Base Rent payable by Tenant at the expiration of the Term Nothing herein <br />shall relieve Tenant from vacating the Premises at the end of the Term or any <br />extension thereof, or earlier termination thereof, and Tenant shall be liable to <br />Landlord for any damages which Landlord may suffer as the result of Tenant's failure <br />to vacate the Premises on the date required herein. <br />
