22. QUIET ENJOYMENT <br />Provided that Tenant shall perform all of the covenants and agreements on Tenant's part <br />to be performed hereunder. Tenant shall peaceably and quietly have and enjoy the <br />Premises during the Term and any renewal or extension thereof, without hindrance from <br />Landlord or any person lawfully claiming by, through or under Landlord, subject, however, <br />to the terms of this Lease and any mortgages or other matters to which this Lease is or <br />may become subordinated. <br />23. NOTICES <br />Any written notice, consent, or other communication that either party is required or <br />permitted to give to the other party shall be served either by hand delivery or sent by <br />certified mail, return receipt requested, and shall be addressed to the other party at the <br />address set forth on the facing page of this Lease, Either party may change Its address by <br />notifying the other party in writing of the change of address. Notices shall be deemed <br />given upon receipt if hand delivered, or forty -eight hours from the time of mailing if mailed <br />as provided in this section. <br />24. RECORDING <br />This Lease shall not be recorded In whole or in part. If either of the parties hereto shall so <br />request, the parties shall execute a Memorandum of Lease making reference to this <br />Lease and containing only such information as may be required by Ohio law. Such <br />Memorandum of Lease may be recorded in the office of the County Recorder of <br />Cuyahoga County, Ohio at the cost of the party requesting recordation, <br />25. MISCELLANEOUS <br />25.1 Time of Essence: Time is of the essence with respect to each provision of this <br />Lease, Any reference in this Lease to "days" shall mean calendar days. <br />25.2 Successors and Assions: This Lease shall be binding upon and Inure to the <br />benefit of Landlord and Tenant and, except as otherwise provided herein, their <br />respective successors and assigns. <br />25.3 Real Estate Brokers: Except for North Pointe Realty, Inc„ whose entire <br />commission shall be paid by Landlord pursuant to separate agreement, each <br />party represents that it has not had any dealings with any real estate broker, <br />finder, or other person with respect to this Lease. Each party shall hold harmless <br />the other from all damages or claims that may be asserted by any broker, finder, <br />or other person with whom the indemnifying party has purportedly dealt, <br />25.4 Aoolicable Laws: This Lease shall be governed, construed and interpreted in <br />accordance with the laws of the State of Ohio, <br />25.5 Modification: This Lease contains all the agreements of the parties and cannot be <br />amended or modified except by a written instrument signed by both Landlord and <br />Tenant. <br />13 <br />
