2. Commencing on the Effective Date and continuing throughout the First Extended Term, <br />Tenant's Base Rent shall be increased as follows: <br />Period Annual Base Rent Monthly Installment <br />911/16 — 8/31117 $92,392.26 $7,699.36 <br />9/1/17- 8131/18 $95,164.03 $7,930.34 <br />3. Section 8.1 of the Lease is hereby deleted in its entirety and the following new Section <br />8.1 is hereby substituted in lieu thereof: <br />"8.1 Indemnification: Tenant shall defend, indemnify, and hold harmless Landlord from <br />all claims arising out of any injury or damage to any person or property resulting from <br />any default by Tenant under this Lease or from the negligence or willful misconduct of <br />Tenant, or any agent, employee, customer, or contractor of Tenant except to the extent <br />that any such claims are a result of any actions or omissions of Landlord or any of its <br />agents, contractors or employees." <br />4. Landlord and Tenant hereby agree and covenant that this First Amendment has been <br />prepared exclusively for the use of the parties hereto. Neither Landlord nor Tenant shall <br />release this First Amendment to any third party except if required by law or upon prior <br />written consent of Landlord. The obligations of this clause shall survive the expiration or <br />earlier termination of the Lease. <br />5. All capitalized terms set forth in the Lease shall have the same meaning in this First <br />Amendment. <br />6. This First Amendment may be executed in any number of counterparts, and by each of <br />the parties in separate counterparts, each of which, when so executed, shall be deemed <br />an original, but all of which shall constitute but one and the same instrument. Delivery of <br />an executed counterpart electronically shall be equally as effective as delivery of a <br />manually executed counterpart of this First Amendment, but the failure to deliver a <br />manually executed counterpart shall not affect the validity, enforceability or binding effect <br />of this First Amendment. <br />2 <br />
