Exhibit A ENERGY SERVICES AGREEMENT Between CITY OF LAKEWOOD And EMPOWER GAS & ELECTRIC LLC This Agreement is made this day of ' 2016 (the "Effective Date ") between Empower Gas & Electric LLC ( "BG &E "), a limited liability company created pursuant to Chapter 1705 of the Ohio Revised Code with a principal place of business at 612 Park Street Suite 200, Columbus OH 43215 and the City of Lakewood ( "Lakewood" or "City "), an Ohio municipal corporation, with a principal place of business at 12650 Detroit Ave, Lakewood, OH 44107. WHEREAS, Lakewood wishes to improve the energy efficiency and environmental performance of buildings and facilities within its jurisdiction; and WHEREAS, Lakewood was issued a grant by the Cleveland Foundation to improve properties, gather baseline energy data, and help residents achieve energy efficiency; and NOW, THEREFORE, in consideration of the mutual promises, covenants, conditions and terms to be kept and performed, it is agreed by the parties as follows: SECTION 1 SCOPE OF WORK A. Overview - EG &E will conduct home assessments for residents which shall include the following elements: Review of electric usage data, gas usage data, building square footage, prior to entering homes. Additionally, EG &E will enter homes of residents and review basement conditions, attic conditions, and other checkpoints as listed in Exhibit A, to produce in conjunction with the above mentioned data review energy efficiency options ( "Products ") to Lakewood Electricity and Gas Customers. These products will meet the following criteria: 1. The Products will make buildings or other sources of electrical and gas demand more energy efficient, which shall result in a net decrease in energy usage for the building or source; or, the Products will generate electricity from renewable sources, resulting in a net decrease in the use of grid - sourced electricity. 2. The Products will be coupled with financial offerings that enable customers (if they choose) to obtain the Products with little or no up- front investment. Property owners shall be provided a copy of the proposal for their property with no obligation to purchase products offered by EG &E.
