K. Obtain approval from Lakewood for all marketing materials that are used to promote this <br />program. <br />L. Provide all data and reports required by the Cleveland Foundation Award Letter dated June <br />30, 2016 (attached as Exhibit "A ") as a condition of the grant as required by Lakewood in order to <br />maintain funding. <br />M. EG &E shall provide copies of all documents created in the performance of the work under <br />this Agreement to the City. All documents, whether printed, hand written, or electronic, produced <br />by Empower specifically as a part of its work under this MOU, except those that are proprietary to <br />Empower, and all such documents shall be turned over to the City at the end of this MOU, and at <br />such other times during the term of the MOU as requested by the City. All such documents <br />produced by Empower as a part of its work under this MOU shall be considered confidential and <br />shall not be provided to any other party other than the City without the written permission of the <br />City. <br />SECTION 3 RESPONSIBILITIES OF LAKEWOOD <br />Lakewood shall: <br />A. Appoint key contacts in Lakewood's Building Department, and other relevant departments. <br />B. Authorize and enable, if requested by Lakewood, EG &E to get billing and utility data from <br />the City, for future efforts to help residents save water, at no additional cost to Lakewood. <br />SECTION 4 COSTS AND COMPENSATION <br />EG &E shall be reimbursed in an amormt not to exceed Twenty Thousand Dollars <br />($20,000.00) for the purchase of energy usage data and for the costs of energy efficiency <br />engineering associated with identifying top targets in the community from utility companies <br />necessary for the completion of work outlined in the Scope of Work. EG &E acknowledges that all <br />funding is conditioned upon Lakewood's actual receipt of the grant award from the Cleveland <br />Foundation and EG &G's obligations to provide necessary reports and data to Lakewood in a timely <br />manner in order to obtain said grant funds as described in Exhibit B. Ten Thousand Dollars <br />($10,000.00) will be payable within 14 days of the Effective Date but not before the receipt by <br />Lakewood of the grant funds from the Cleveland Foundation detailed in Exhibit B, and any <br />remaining funds due, up to an additional Ten Thousand Dollars ($10,000.00) will be payable to <br />EG &E upon successful and satisfactory completion of the product launch plan to the City as <br />described in Section 1 of this Agreement and submission of a final invoice with back -up <br />documentation showing the actual cost of energy usage data and engineering costs but no sooner <br />than January 1, 2017 and conditioned upon Lakewood receiving the additional $10,000.00 in <br />funding from the Cleveland Foundation as detailed in Exhibit B. The City understands that this <br />amount will only partially cover the costs of EG &E in fulfillment of its duties, responsibilities, and <br />obligations in this Agreement and EG &E understands that it has no expectation of any further <br />compensation for performance of the Scope of Work.
