b, Settlement of Issues. Sub - Grantee alone is responsible, In accordance with <br />good administrative practice and sound business judgment, for the settlement of all <br />contractual and administrative Issues arising out of Its purchase of the Vehicle, <br />7. Monitoring and Auditing <br />a. Federal Government, The DOJ, the Comptroller General for the United <br />States, or any of their duly authorized representatives shall have access to any books, <br />documents, papers, and records of Sub - Grantee which are directly pertinent to this <br />Agreement for the purpose of making audit, examination, excerpts and transcriptions. <br />b, Audits. Sub - Grantee shall comply with all audit requirements of the DOJ, <br />the State of Ohio, and Cleveland. <br />C. This Section 7 shall survive the Termination of this Agreement for any <br />reason. <br />8. Cancellation <br />This Agreement may be canceled by Cleveland or Sub - Grantee without cause at <br />any time prior to the Sub - Grantee's purchase of the vehicle upon 45 days written notice to <br />the other party. <br />9. Assignment Prohlbitgrj <br />Sub- Grantee may not assign, transfer, convey, sell or pledge Its rights or Interest In <br />this Agreement or any part thereof, or any right or privilege created under this Agreement <br />and on any attempt by Sub - Grantee to do so, this Agreement shall immediately terminate, <br />10.
