upon the Premises or the Building by Tenant, its agents, employees or <br />contractors. <br />25.13 Transfer of Landlord's Interest: If Landlord sells or otherwise transfers Landlord's <br />interest in the Building, Landlord shall thereafter have no liability to Tenant under <br />this Lease, except for those liabilities which have accrued prior to the date of such <br />sale or transfer. Landlord shall be liable under this Lease only while owner of the <br />Building. Neither Landlord nor any partner of Landlord shall have any personal <br />liability on or under this Lease. The obligations of Landlord hereunder shall be <br />enforceable only against Landlord's interest in the Building and the rent accruing <br />therefrom, and Tenant covenants and agrees that it shall not prosecute any action <br />under or relating to this Lease against any partners of Landlord, or the assets of <br />any such partner, other than Landlord's interest in and to the Building. <br />25.14 Authority to Execute Lease: The corporate officer(s) or Partner(s), as the case <br />may be, of Tenant signing this Lease is (are) authorized to execute this Lease <br />without the necessity of obtaining any other signatures of other person(s), and this <br />Lease is fully binding on Tenant. <br />26. PARKING <br />During the Term, Landlord shall provide a total of two (2) reserved handicapped parking <br />spaces and a total of two (2) reserved parking spaces with signage marked "Expectant <br />Mothers' near the front entrance to the Building. <br />27. COUNTERPARTS <br />This Lease may be executed in any number of counterparts, and by each of the parties <br />in separate counterparts, each of which, when so executed, shall be deemed an original, <br />but all of which shall constitute but one and the same instrument. Delivery of an <br />executed counterpart electronically shall be equally as effective as delivery of a manually <br />executed counterpart of this Lease, but the failure to deliver a manually executed <br />counterpart shall not affect the validity, enforceability or binding effect of this Lease. <br />28, FORMER LEASE OBLIGATION: <br />Landlord and Tenant acknowledge and agree that Tenant currently has continuing <br />obligations to Landlord with respect to the following Lease (the "Current Lease "): <br />a) Office Lease dated as of April 19, 2011, as amended by and between The City of <br />Lakewood ( "Landlord ") as successor in interest to Lakewood Hospital Association <br />and The Cleveland Clinic Foundation ( "Tenant ") for use by its OBGYN and Women's <br />Health Institute covering Suites 300, 300A, 310, 320 and 330 in the Building. <br />As a material inducement for both of the parties to enter into this Lease, the parties <br />hereto agree that from and after the Commencement Date of this Lease (the "Surrender <br />Date "), Tenant's obligations for future payments pursuant to the Current Leases shall <br />cease without further action of the parties; provided, however, that Tenant shall be <br />Contract ID 4161927 <br />1s <br />
