Section 21. Governing Law. <br />This Lease Agreement is governed by the laws of the State of Ohio. All disputes arising under <br />this Lease Agreement must be litigated in the Cuyahoga County Court of Common Pleas. <br />Section 22. City Representatives Not Individually Liable. <br />No member, official, or employee of the City may be personally liable to Lessee, or any <br />successor in interest, in the event of any default or breach by the City or for any amount which may <br />become due to Lessee or successor or on any obligations under the terms of this Lease Agreement. <br />Section 23. Counterparts. <br />This Lease Agreement may be signed by the parties in multiple counterparts, in the presence of <br />each other or at separate locations and times, and each counterpart to which the signatures of all parties <br />have been appended shall constitute an original hereof of all purposes. This Lease Agreement may be <br />delivered by either party by facsimile or email in pdf or similar electronic format, and the facsimile or <br />electronic signature of a party on this Agreement shall be as valid and binding upon such party as if such <br />party had delivered a counterpart with his or its manually signed signature affixed thereto. <br />Section 24. Severability. <br />If any provision of this Lease Agreement is for any reason held to be illegal or invalid, it will not <br />affect any other provision of this Lease Agreement. <br />Section 25. Prevailing Party. <br />In the event either party incurs any costs to enforce its rights under this Agreement, the <br />prevailing party in any such dispute shall be entitled to be reimbursed from the non -prevailing <br />party for the prevailing party's costs and expenses (including reasonable attorneys' fees) incurred <br />to enforce this Agreement <br />Section 26. Complete LeaseAgreement. <br />All negotiations, considerations, representations, and understandings between the parties as to the <br />lease of the Property are incorporated in this Lease Agreement, and may be modified only by written <br />agreement signed by both parties. <br />[The remainder of this page has intentionally been left blank; signatures and notary blocks <br />appear on the following pages] <br />rrj <br />
