<br />MINUTES OF COMMITTEE OF THE WHOLE <br />JULY 3, 2023 <br />AUDITORIUM <br />Present: Councilmembers Baker, Bullock, Kepple, Litten, Marx, Rader, Shachner <br />Also Present: Planning Director Leininger, Mayor George, Law Director Vargo, Trish Rooney of <br />Lakewood Community Services Center, Clerk Bach and Deputy Clerk Hamideh <br />Call to Order: 6:35 p.m. <br /> <br />Approval of the minutes of the May 8, 2023 Committee of the Whole. <br />Motion was made and seconded to approve the minutes of the May 8, 2023 Committee of the <br />Whole. Allmembers voted in favor. Minutes approved. <br />ORDINANCE 13-2023 - AN ORDINANCE to take effect immediately provided it <br />receives the affirmative vote of at least five members of Council, or otherwise to take <br />effect and be in force after the earliest period allowed by law, authorizing and <br />directing the Mayor or Director of Planning & Development (Director) to enter into <br />an agreement for the sale of 12900 Madison Avenue (Parcel 315-09-022), Lakewood, <br />Ohio. <br /> <br />Director Leininger introduced the purchase agreement, explaining that there have been many <br />conversations between the city and Lakewood Community Services Center (LCSC) leading up to <br />this point. Director Leininger noted that the most updated agreement with LCSC’s signature was <br />sent to the Clerk, with the intention that it be attached to the legislation in a substitute version. <br />He noted that the purchase agreement is in the city’s standard format with standard warranties <br />and contingencies outlined. <br />Director Leininger summarized that a $10,000 downpayment is due within 10 days of an <br />executed agreement withthe balance of $190,000 due at closing. The agreement stipulates that <br />LCSC has the right to inspect the property within 60 days, with an option to extend this an <br />additional 30 days. Closing is required to occur within 30 days of the inspection. Director <br />Leininger outlined special conditions and deed restrictions within the agreement that, among <br />other conditions create deadlines by which construction must begin. If these are not met the city <br />may repurchase the property. <br />In response to a question, Director Leininger elaborated that the city and LCSC negotiated on the <br />timing by which construction was to be complete. LCSC asked for additional time for <br />completion of the second floor. LCSC also requested an additional 30-day extension for <br />completion of the inspection, which the city granted. <br />Councilmember Baker suggested alternative structures for the agreement regarding the city’s <br />right to repurchase. <br />1 <br /> <br /> <br />
