If the Clevelaad House of Correctioa should cease or be scheduled to cease operatioas, Cleveland shall promptly notify.Contractor of such fact and Coatractor shall be respoasible for arranging for confinement at and traasgortatioa of .its prisoners to another facility. Contractor and the officer(s) executing this Agreement on its behalf coveaaat. that they are authorized,• to enter and execute this Agreement and that a copy of any -authorizing ordiaance or resolution, du1y passed or adopted, shall be attached hereto prior to executioa by Cleveland. Further, Contractor covenants that it-will immediately notify Clevelaad if such authority lapses or is rescinded. -. • I. Unless otherwise terminated pursuant to the provisions hereof, this Agreement shall continue until cancelled by either party hereto, in writing, not less than sixty (60) days pr'ior to the effective date of such cancellation.'
