ORDINANCE N0. 82=52 Page -2- as well as routine oral conferences by telephone or at the Village Hall or in the office of the Law Director with the Mayor or Members of Council, together with preparation of a11 Ordinances, Resolutions and proclamations, as well as`the preparation of opinions requiring incidental and minimal research, a monthly retainer of Eight Hundred Fifty Dollars ($850.00) per calendar month, payable in advance, on the tirst day of each month, commencing with August l, 1982; (b) For all of the services requested or authorized and not specifically set forth in subsection (a) hereof a charge of Fifty-Five Dollars ($55.00) per hour, subject to a maximum of Four Hundred Forty Dollars ($440.00) for any one calendar day; (c) Reimbursement of actual out-of-pocket expenses reasonably and necessarily incurred in the conduct of Village business documerited in the fashion required by the Internal Revenue Service of.the United States of America for tax deductible business exgenses. Section 5. The Law Director shall keep Council fully and completely infornied of all developments with regard to municipal litigation and shall not, without obtaining prior consent of the majority of the members of Council,. given by Motion during a regular or special meeting, appeal any litigation. No settlement on behalf of Mayfield Village shall be proposed nor consummated without prior consultation with Council in operi or executive session as authorized by Ohio 1aw. Section 6. In cases in which, due to conflict of interest or other specialized circumstances, promptly reported to Council, the employment of another attorney for the municipality becomes desirable; the Law Director may request employment by the municipality of outside counsel but such employment shall be'authorized only by prior approval of the majority of the members of Council in a regular or special meeting. . Section 7. All services of the Law Director and the terms and conditions of his employment not specifically covered by this Ordinance sha11 be subject to review by Council from time=to-time and the Law Director sha11 be required to approach Council with regard to such circumstances before undertaking any activity not contemplated by this Ordinance. Section 8. The contractual arrangement between the municipality and the Law Director established here"in shall remain in force and effect from Augus't 1, 1982 through December 31, 1983 and shall be cancellable by either party upon providing written notice to the other thirty (30) days prior to such effective date of termination.
