M. V o RESOLUTION N0. 84- 34 Page -2- Charles R. Miller, effective January 17, 1984 and retroactive thereto, at the following rates of compensation: (a) For Attorney Charles R. Miller, the sum of Eighty Five Dollars ($85.00) per hour for all out-of-Court services. (b) For Attorney Charles R. Miller the sum of One Hundred Fifty Dollars ($150.00) per hour for all in-Court servicese (c) For any attorneys associated with or employed by Attorney Charles R. Miller a sum not to exceed Forty Dollars ($40.00) per hour, whether for in-Court or out-of-Court services. Section 4, The Mayor and Director of Finance are hereby authorized and directed to pay to Attorney Charles R. Miller the sum of Fourteen Thousand Eighty-Two Dollars ($14,082.00) for his services rendered on behalf of the municipality in the subject litigation for the period January 17, 1984 through August 27, 1984. Section 5. It shall be the affirmative duty of Attorney Charles R. Miller to keep the Mayor and Council fully and completely informed of all developments with regard to the subject litigation. No settlement on behalf of Mayfield Village shall be proposed nor consummated without prior consultation with Council and the approval of a majority vote thereof. Section 6_, The contractual arrangement authorized herein shall remain in force and effect until the subject litigation has concluded and, furthermore, shall be cancellable by either party upon providing written notice to the other sixty (60) days prior to such effective date of termination. Section 7. That the Council finds and determines that all formal actions of this Council relating to the adoption of this Resolution have been taken at open meetings of this Council; and that deliberations of this Council and of its committees, resulting in such formal action, took place in meetings open to the public, in compli- ance with all statutory requirements including the requirements of Section 121022 of the Ohio Revised Codeo Section 8 This Resolution is hereby declared to be an emergency measure immediately necessary for the preservation of the health, safety and welfare of the residents of Mayfield Village, Ohio, for the reasons set forth in the preamble hereto.
