6.3 County's Respansibility. The COUNTY shall have sole responsibility for all expenses asso[iated with the operation of its Emergency Management entity, as defined in Section 3.1 of this Agreement, and with the operations of the CEMAC as defined in Section 3.2 of this Agreement. 6.4 Other Entities_ The COUNTY and the CMEIMS COMMUNITY shall not charge another CMEIMS Community or an Emergency Management agency for services provided under this Agreement unless there is a Major Emergency Incident. 6.5 CEMAC Volunteers. The COUNTY shall not compensate the CMEIM5 COMMUNITY's volunteers for work perfiormed at the CEMAC. ARTIQE 7 TEFd1 IIF A6FaEEPOff 7.1 Period of Agreement. The terms and conditions of this Agreement shall go into effect thirty (30) days after the date first written above and shall remain in effect untii SUCF1 time as this Agreement is terminated in accordance with Section 7.2 of this Agreement. 7.2 7ermination. The COUNTY and the CMEIMS COMMUNITY shall have the right to terminate this Agreement sub,iect to thirty (30) days priar written notice. All services required hy this Agreement shall he provided hy the parties to this Agreement to the date of termination. ARTIQE B 6EPAE7211L Fi7DVISIQM 8.1 Assigranent. This Agreement shall not be assignable by any of the parties hereto without the prior written consent of the other parties. 8.2 Modificatian and Waiver_ No cancellation, modification, amendment, deletion, addition, or other change in this Agreement or any provision hereof or waiver of any right or remedy herein provided shall be effective for any purpase unless speci{ically set forth in wr.iting and signed by the parties to be hound thereby. No waiver of any right or remedy in respect of any occurrence or event on one occasion shall be deemed a waiver of such right or remedy in respect of such occurrence ar event on any other occasion. 8.3 Entire Agreement. This Agreement} which includes any exhi6its attached hereto, contains the entire understanding and agreement of the parties with respect to the suhject matter hereof and supercedes all prior or contemporaneous arrangements, commitments, representations, or understandings, whether written or oral.
