of Progressive will have on their residential area; and <br />WHEREAS, representatives of Progressive have met with <br />representatives of the Worton Park Homeowners Association (hereinafter <br />"Association") to address those concerns; and <br />WHEREAS, the Mayor and Council of the Village have <br />determined that the representations made by agents of Progressive to <br />the Association should be reduced to writing as an agreement between <br />Progressive and the Village; now, therefore, <br />g I T N E S S E T H: <br />In consideration of the mutual premises and promises set <br />forth hereinabove and hereinbelow the parties hereto do hereby agree <br />as follows: <br />1. Progressive, at its expense, will engage the services of <br />the Northeast Ohio Areawide Coordinating Agency (hereinafter "NOACA") <br />to prepare an impact study to determine what, if any, effect the <br />proposed driveway relocation will have on the fair market value of <br />residential properties in the Worton Park area of the Village. In <br />addition to the foregoing, NOACA, at the sole expense of Progressive, <br />- will also determine what impact, if any, the proposed driveway <br />relocation will have on the fair market value of the parcel of land <br />located on the southeast corner of Worton Park and Wilson Mills Road, <br />the address of same being S25 Worton Park. <br />2. If the impact study pcepared by P:OACA indicates that the <br />proposed driveway relocation would not adversely affect the fair <br />market value of the properties in the Worton Park area then <br />Progressive may proceed with its proposed driveway relocation, subject <br />to the balance of the terms and conditions herein and subject also to <br />-2- <br />
