NEO I :~~ 6. The Affiliate will not use this Agreeineut or any of the Master Contracts as leverage, knowledge, inducement or methods for obtaining reduced prices or additional concessions for similar products or services. 7. The Affiliate will be responsible for its use of the Offerings under this Agreement. NEO~SO will not be liable for any violations by the Affiliate, and the Affiliate will indenuufy and hold NEO~SO harmless from any daliiages or liability tliat may arise from the action or inaction of the Aff liate under this Agreement. 8. The exercise of any rights or remedies by the Affiliate in connection with the Affiliate's use of the Offerings will be solely against the Supplier responsible for such Offering and shall be the exclusive obligation of the Affiliate. 9. Tlnis Agreement will remaii in effect until ternunated by either party to this Agreement by delivering thirty (30) days advance writteln notice. Notice will be provided to NEO~SO at 5422 East 96°i Street, Suite 150 Cleveland, Oluo 44125. Notice will be provided to the Affiliate at its respective address listed in the signature block of this Agreement. Termination of this Agreement will not have any effect on the Client Agreement or the Master Contracts or any amounts due and payable to the Suppliers by the Affiliate under the terns of its utilization of the Offerings. All parties aclaiowledge that the Master Contracts are completely separate and independent from this Agreement. 10. Tlus Agreement will take effect upon -the date of execution by the Affiliate. 11. The Affiliate represents and warrants that it lnas full authority to enter into tIus Agreement. The Affiliate is snot in default under any law or regulation or under any order of any court of federal, state, or nnunicipal or other govennmetntal department, coinn>ission, board, bureau, agency or instrumentality affecting this Agreement.
