Grant Agreement for PHASE 1 OF THE COUYAHOGA INNOVATION ZONES PII.,OT PROGRAM by and between BOARD OF COUNTY COMMISSIONERS and MAYFIELD VILLAGE This agreement is made and entered into this 1st day of Jules, 2007, (the "Effective Date") by and between the Board of County Commissioners County of Cuyahoga, Ohio (hereinafter called "COUNTY"), acting by and through its Director of Development and the Mayfield Village (hereinafter referred to as "ANCHOR"). WHEREAS, the COUNTY has appropriated funds for and established the Cuyahoga Innovation Zones Pilot Program (hereinafter referred to as "CIZ") to promote physical and economic development in the COUNTY and Northeast Ohio through self-sustaining Zones that will attract people and grow businesses; and WHEREAS, the COUNTY, through the CIZ Pilot Program, seeks to encourage collaboration between businesses, institutions of research and higher education, and communities; and WHEREAS, the COUNTY publicly announced it was seeking proposals for performance of Phase I CIZ Business Plan services; and WHEREAS, the ANCHOR has asked the COUNTY to provide a grant in the amount of $20,000.00 to the ANCHOR for completion of Phase I deliverables has submitted a proposal for the completion of the Phase I CIZ Business Plan deliverables; and WHEREAS, the COUNTY has reviewed the ANCHOR's proposal and has determined that the proposal is consistent with the requirements and objectives of the CIZ Pilot Program Guidelines for the Phase I CIZ Business Plan; and WHEREAS, in furtherance of economic development purposes, the COUNTY proposes to award the Phase I CIZ Business Plan Grant pursuant to this Grant Agreement; and WHEREAS, the BOCC has determined that COUNTY powers and duties to be executed and performed pursuant to the Grant Agreement shall be exercised and performed by the County Administrator or Director of the Department of Development on behalf of the COUNTY and the BOCC, and has designated the County Administrator or Director of the Department of Development to execute all documents related to the Grant; and NOW, THEREFORE, in consideration of these premises and of the mutual covenants herein set forth, the parties hereto agree as follows: "EXHYBIT A"
