CONTRACT BETWEEN <br />NOACA AND MAYFIELD VILLAGE <br />FY 2008-2009 <br />NORTHEAST OHIO AREAWIDE COORDINATING AGENCY <br />Contract for Services <br />THIS AGREEMENT entered into the 10th day of October 2008, by and between Mayfield <br />Village, an Ohio Municipal Corporation, 6622 Wilson Mills Road, Mayfield Village, Ohio <br />44143 and the NORTHEAST OHIO AREAWIDE COORDINATING AGENCY (NOACA); <br />WITNESSETH: <br />WHEREAS, NOACA desires to contract with Mayfield Village as sponsor for The <br />Mayfield Village Green Corridor Masterplan; and <br />WHEREAS, the goals of the Transportation for Livable Communities Initiative (TLCI) <br />are to enhance the economic viability of existing communities within the region, to enhance the <br />region's quality of life, to improve the safety and efficiency of the existing transportation system <br />and to result in projects that can compete at the regional level for capital funds; and <br />WHEREAS, Mayfield Village will assist NOACA in attainment of the above goals. <br />NOW, THEREFORE, the parties mutually agree as follows: <br />1. Agreement with MAYFIELD VILLAGE. Mayfield Village agrees to oversee <br />the work as detailed in Exhibit A, attached hereto and incorporated herein by reference, in <br />furtherance of The Mayfield Village Green Corridor Masterplan (the "Project"), and in <br />conformity with all applicable federal, state and local laws to which Mayfield Village and <br />NOACA and their respective employees are subject. As part of its oversight, Mayfield Village is <br />required to run the Project final report both through its Village Council and its Planning <br />Commission in order to obtain their requisite approvals and recommendations. No part of the <br />Project may be completed without these approvals/recommendations and proper legislation. <br />2. Scope of Services. Mayfield Village shall do, perform and carry out in a <br />satisfactory, proper and timely manner the work tasks set forth in the Scope of Services section <br />of Exhibit A, upon receiving proper authorization as defined in this Scope. Said Scope of <br />Services shall become part of this Agreement and shall not be altered without the prior express, <br />written consent of NOACA and MAYFIELD VILLAGE. <br />3. Time of Performance. Effective date of this Agreement shall be October 10, <br />2008 through December 31, 2009. Failure to perform in a timely manner shall entitle NOACA <br />to terminate this Agreement immediately. In any event, all services shall be completed on or <br />before December 31, 2009. <br />4. Compensation. MAYFIELD VILLAGE agrees to submit invoices, with attached <br />canceled checks as evidence of payment, to NOACA in accordance with Exhibit B attached <br />hereto and incorporated herein by reference. NOACA agrees to reimburse according to an <br />agreed schedule set forth in Exhibit C, which is also attached hereto and incorporated herein by <br />reference, for all authorized services performed in a satisfactory and timely manner by <br />-1- <br />
