CONTRACT BETWEEN
<br />NOACA AND MAYFIELD VILLAGE
<br />FY 2008-2009
<br />10. Responsibility of Mayfield Village. Mayfield Village shall be responsible for
<br />professional quality, technical accuracy and coordination of all services furnished by Mayfield
<br />Village under this Agreement. Mayfield Village shall correct or revise, without additional
<br />compensation, any negligent errors or deficiencies that occur in its services.
<br />11. Audits and Inspection. At any time during normal business hours and as often
<br />as NOACA or its auditor may deem necessary, Mayfield Village shall make available to
<br />NOACA, for examination, all records for a period of no less than three years from the date of
<br />final payment hereunder with respect to all matters covered by this Agreement and will permit
<br />NOACA or its auditor to audit, examine and make excerpts of transcripts from such records, and
<br />to make audits of all contracts, invoices, materials, payroll records, and to make audits of other
<br />data relating to all matters covered by this Agreement. Mayfield Village shall maintain all
<br />books, documents, papers, accounting records and other evidence pertaining to the costs incurred
<br />pursuant to generally accepted accounting practices. Those records which relate to a NOACA
<br />grant agreement, litigation, or settlement of claims arising out of such performance or cost of
<br />items to which an audit exception has been taken, shall be maintained and made available 15
<br />years after date of resolution of such appeal, litigation, claim or exception.
<br />12. Reimbursement. Mayfield Village agrees to complete the services as set forth in
<br />the attached Scope of Services in Exhibit A and to invoice (with canceled checks attached)
<br />NOACA only for those services requested. Mayfield Village agrees to reimburse NOACA for
<br />any costs found to be ineligible for reimbursement by any state or federal agency whether due to
<br />audit or otherwise.
<br />13. Equal Employment Opportunity. Mayfield Village agrees to abide by any and
<br />all applicable equal employment opportunity laws, whether state or federal, and to use its best
<br />efforts to subcontract with DBEs when possible. Mayfield Village shall ensure that applicants
<br />are hired, and that employees are treated during employment, without regard to their race,
<br />religion, national origin, ancestry, color, gender, sexual orientation, age, disability or veteran
<br />status. Such action shall include, but is not limited to, the following: employment, upgrading,
<br />demotion or transfer, recruitment or recruitment advertising, layoff or termination; rates of pay
<br />or other forms of compensation; and, election for training, including apprenticeship. Mayfield
<br />Village further agrees that it will insert the foregoing provision in all of its subcontracts in
<br />connection with the services to be provided; Mayfield Village further agrees to comply with all
<br />requirements of Title VI of the Civil Rights Act, "49 C.F.R. Part 21."
<br />14. Interest of Members of MAYFIELD VILLAGE and Others. No officer,
<br />member or employee of Mayfield Village and no member of its governing body shall have any
<br />interest, direct or indirect, in this Agreement.
<br />15. Time of Execution and Reliance by NOACA on Prior Submissions. The
<br />parties acknowledge that NOACA, in executing this Agreement, is relying upon the accuracy
<br />and truthfulness of the information submitted to NOACA by Mayfield Village as requested by
<br />NOACA and supplied by Mayfield Village, and such information is hereby included by
<br />reference in this Agreement.
